These terms are the agreement between Knowpoint and the organization that uses the Knowpoint service. They cover the service (your workspace at <name>.knowpoint.io), the Knowpoint browser extension, the REST API and the MCP server.
We've written them in plain language. If anything is unclear, email us at info@knowpoint.io.
1. Who the agreement is with
"Knowpoint", "we" and "us" mean the company that provides the Knowpoint service. "You" means the organization that signs up, for example your MSP or IT department.
Whoever starts a trial, subscribes or accepts these terms confirms they're allowed to do so for their organization. If you have a separate signed agreement with us, that agreement wins where the two differ.
2. The service
Knowpoint is IT documentation software: a place for your organizations, assets, passwords, documents and procedures, with search, alerts, integrations and an AI assistant.
- Trials. A trial is free, lasts 14 days unless we agree otherwise, and needs no payment card. When it ends, your workspace is paused, not deleted. Subscribe to pick up where you left off, or ask us to delete it.
- Changes. We improve the service all the time. If we remove a feature you rely on in a way that matters, we'll tell you at least 30 days before, where we can.
- Availability. We work to keep the service running and fast, and publish its status at status.knowpoint.io. Unless we've agreed a service level with you in writing, we don't promise a particular uptime.
3. Your accounts
- Your admins decide who gets an account, what role they have and which organizations they can see.
- Accounts are for your own staff and contractors, one per person. Don't share sign-ins.
- You're responsible for what happens under your accounts. Use strong passwords, turn on two-factor authentication or single sign-on, and remove people promptly when they leave.
- Tell us straight away at security@knowpoint.io if you think someone has got into your workspace without permission.
4. Your data
- It's yours. Everything your team puts in Knowpoint, or syncs from other tools, belongs to you. We get no rights to it beyond what we need to run the service for you.
- How we use it. We store, process and back it up only to provide the service, keep it secure and support you. We don't sell it, and we don't use it to train AI models.
- Your responsibility for it. You confirm you're allowed to store what you put in Knowpoint, including your clients' information and credentials.
- Data we can't take. Knowpoint isn't designed for, and we don't sign agreements for, health information covered by HIPAA or payment card numbers covered by PCI DSS. Don't store them.
- Export and deletion. You can export your data at any time, as JSON and spreadsheets. How we protect it, and the providers we use, are in our privacy policy and security whitepaper.
- AI and integrations. Knowa uses your own Anthropic or OpenAI account, under your agreement with that provider. Integrations you connect, such as your PSA, RMM or Microsoft 365, send data between Knowpoint and that service as you set them up. Password values are never sent to an AI provider.
5. Support access
To help with a problem, Knowpoint support can view your workspace as one of your users, if your workspace allows it. It's on by default, and your admins can turn it off in Admin → General.
Each session needs a reason and is read-only: support can't change anything, or reveal, copy, share or export passwords or data. A session lasts at most an hour, notifies your admins, and is recorded in your audit log.
6. Acceptable use
Don't use Knowpoint to:
- break the law, or store or share anything you don't have the right to
- send malware or spam, or attack or phish anyone
- try to get into another workspace, or get around the service's security or limits
- copy, resell or rebuild the service, or reverse engineer it, except where the law allows
- test the service's security without our written permission. Report vulnerabilities to security@knowpoint.io; we're glad to hear about them.
- overload the service, for example with automated requests far beyond normal use
If something you do puts the service or other customers at risk, we may suspend the account involved. Where we can, we'll tell you first and give you a chance to fix it.
7. Fees and payment
- Price. $25 per user per month, month to month, or $20 per user per month on a yearly commitment. Prices are in US dollars unless we agree another currency.
- Users. You pay for each person with an active account in your workspace.
- Taxes. Prices don't include taxes. We add GST, HST, PST or sales tax where we're required to.
- Paying. We invoice monthly or yearly in advance, unless we agree otherwise. Invoices are due within 30 days.
- Price changes. We'll give you at least 30 days' notice before a price change, and it applies from your next billing period. A yearly commitment keeps its price until it renews.
- Late payment. If an invoice is more than 30 days overdue, we may pause your workspace after giving you 14 days' notice. Your data stays safe while it's paused.
- Refunds. Fees aren't refunded for part of a billing period, except where the law requires it or we've ended the service without cause.
8. Confidentiality
Each of us will keep the other's confidential information private, and only use it for this agreement. For us, that includes everything in your workspace. For you, it includes anything we share that isn't public, such as pricing we've agreed or our security details. This doesn't cover information that's already public, or that the law requires us to disclose. Where we're allowed to, we'll tell you first.
9. Ending the agreement
- You can cancel at any time. Month-to-month subscriptions end at the end of the current month; yearly subscriptions at the end of the year you committed to.
- We can end the agreement if you seriously breach these terms and don't fix it within 30 days of our notice, or with 90 days' notice for any reason. If we end it without cause, we refund fees you've paid for time after it ends.
- Afterwards, you have 30 days to export your data. After that we delete your workspace. Backups held by our hosting provider expire on their normal schedule, within 7 days.
10. Warranties and liability
- We provide the service with reasonable skill and care. Beyond that, and as far as the law allows, it's provided "as is", without other warranties.
- Neither of us is liable to the other for indirect or consequential losses, such as lost profits, revenue or data, even if we knew they were possible.
- Each side's total liability under this agreement is limited to the fees you paid us in the 12 months before the claim.
- These limits don't apply to your obligation to pay fees, a breach of confidentiality, or anything the law doesn't allow us to limit.
11. Changes to these terms
We may update these terms. If a change matters, we'll email your workspace owner at least 30 days before it takes effect. If you don't agree, you can cancel before then, and we'll refund fees for time after the change.
12. General
- These terms are governed by the laws of British Columbia and of Canada. The courts of British Columbia decide any disputes.
- Neither of us is responsible for delays caused by events outside our reasonable control, such as a major outage at a provider, a natural disaster or war.
- You can't transfer this agreement without our agreement. We can transfer it as part of a merger, acquisition or sale of our business, and these terms keep applying.
- We send notices by email to your workspace owner; you send them to info@knowpoint.io.
- If part of these terms can't be enforced, the rest still applies.
13. Data processing terms
These terms apply where Knowpoint processes personal information on your behalf, and form part of this agreement. They're written to meet the requirements of Canada's privacy laws, the GDPR and the UK GDPR, where those apply.
Roles. You're the controller of the personal information in your workspace, and Knowpoint is your processor.
What we process.
| Item | Details |
|---|---|
| Subject matter | Providing the Knowpoint service |
| Duration | While this agreement lasts, plus the 30 days after it ends |
| Nature and purpose | Storing, organizing, searching, backing up and displaying your documentation, and running the features you turn on |
| People it's about | Your users, and the clients, contacts and staff you document |
| Types of information | Names, email addresses, phone numbers, job titles, account usernames and passwords, device and network details, and anything else you choose to store |
Our commitments. We will:
- process personal information only on your documented instructions, which are this agreement and how you use and configure the service
- make sure everyone who can access it is bound by confidentiality
- protect it with the security measures in our security whitepaper
- use the subprocessors listed in our privacy policy, give you at least 30 days' notice before adding or replacing one, and let you object. If we can't resolve a reasonable objection, you can end the agreement and get a refund of fees for time after it ends.
- hold each subprocessor to data protection terms at least as strong as these
- help you respond to requests from people exercising their privacy rights, mostly through the service's own search, edit, export and delete features
- tell you without undue delay, and within 72 hours, after we become aware of a breach affecting your data, with the information you need to meet your own obligations
- delete your data when the agreement ends, as described in section 9
- answer reasonable security questions and questionnaires to show we meet these terms. Where those aren't enough, and you have a specific concern, we'll agree a reasonable audit with you.
Where it's stored. Your data is hosted in the United States (Oregon). For transfers from the EU, the UK or Switzerland, we rely on the European Commission's Standard Contractual Clauses, or the UK and Swiss equivalents, which form part of these terms where they apply.
